Terms of Sale

Preamble
These Terms of Sale govern the contractual relationship between Paul Noorman / OurPlan(the "Service Provider") and any client (the "Client") using web and digital development services.
Any service order implies unconditional acceptance of these Terms.

OurPlan offers the following services:
· Custom website design and development
· Progressive Web Apps (PWA)
· Native iOS and Android mobile apps
· Custom back-end development and APIs
· Custom admin dashboard integration
· Maintenance and technical support
Pricing
Current prices are those published on ourplan.ch at the time of order. Prices are in Swiss francs (CHF), all taxes included.
Current packages:
· Essential Presence (one page): 2'100 CHF (30h · 2–3 weeks)
· Vitrine Essentiel: 3'150 CHF (45h · 4 weeks)
· Vitrine Pro: 4'900 CHF (70h · 5 weeks)
· SaaS Pro: 7'000 CHF (100h · 7 weeks)
· E-Commerce Pro: 7'700 CHF (110h · 8 weeks)
· Progressive Web App: from 4'800 CHF (60h · 5 weeks)
· Native iOS + Android app: from 13'500 CHF (150h · 10 weeks)
· Custom back-end: 110 CHF/hour
OurPlan reserves the right to modify pricing at any time. Applicable prices are those in force at the date of quote signature.
Quote and order
Every service is subject to a detailed quote, established after a free discovery session (30 to 60 minutes). The quote specifies the nature of services, delivery timeline and total amount.
The order is confirmed by signed quote and deposit payment. No work begins without a signed quote.
Payment terms
Payment is made in two instalments:
· 40% on signature of the quote (deposit)
· 60% on delivery of the project
Payments are accepted by bank transfer (details provided on the invoice). Late payments incur interest at 5% per annum under Swiss law (CO art. 104).
Delivery timelines
Delivery timelines are defined in the quote. They are counted in working weeks from receipt of the deposit and necessary materials (content, access, approvals) provided by the Client.
Any delay attributable to the Client (delayed approval, late content) suspends the contractual timeline without penalty for OurPlan.
Intellectual property and transfer
Upon receipt of the final balance, the Client acquires full ownershipof the delivered source code. The GitHub repository is transferred to the Client's account.
Until this transfer, the code remains OurPlan's property. The Client may not redistribute, modify or exploit deliverables before full payment.
OurPlan reserves the right to mention the project in its portfolio, unless the Client explicitly objects in writing.
Warranties and support
OurPlan warrants that deliverables conform to the specifications defined in the quote. A support period is included depending on the package:
· Vitrine Essentiel: 30 days
· Vitrine Pro: 60 days
· SaaS Pro and E-Commerce Pro: 90 days
This warranty covers technical bugs and anomalies. It does not cover functional modifications, content updates, or failures related to third-party services (hosting, payment, etc.).
Client obligations
The Client agrees to:
· Provide content (texts, images, videos) within agreed timelines
· Validate each project stage within a reasonable time (max. 7 working days)
· Hold rights to all content provided (images, texts, logos)
· Pay invoices within agreed timelines
Confidentiality
Both parties agree to keep confidential all information and documents exchanged in connection with the project. This obligation persists for 3 years after the end of the contract.
Termination
If the Client terminates after signature, the 40% deposit remains with OurPlan for work already undertaken.
If OurPlan materially breaches its obligations, the Client may request contract termination and deposit refund, after formal notice remaining unaddressed for 15 days.
Applicable law and jurisdiction
These Terms are governed by Swiss law. In case of dispute, the parties will seek an amicable resolution. Failing that, the courts of the Canton of Fribourg shall have exclusive jurisdiction.
